Terms of Service

Welcome to LucidQuery. By accessing or using our website, services, APIs, or applications (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legal agreement between you and LucidQuery, SAS. (“LucidQuery,” “we,” “us,” or “our”).

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. In such cases, “you” refers to both you and that organization.

If you do not agree with these Terms, you may not access or use the Services.

We may modify these Terms at any time. We will provide notice of material changes through the Services or by email. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

It is your responsibility to review these Terms periodically. If you do not agree to the modified terms, you should discontinue your use of the Services.

To use the Services, you must be at least 16 years old, or the minimum age required in your country. If you are under 18, you must have your parent or legal guardian’s permission, and they must agree to these Terms on your behalf.

We reserve the right to refuse service, terminate accounts, or restrict access to the Services at our discretion.

To access certain features you may need to create an account. You agree to provide accurate, current, and complete information and to keep it up to date.

You are responsible for safeguarding your account credentials and for all activity under your account. Notify us immediately of any unauthorized use or breach of security. You may not share, transfer, or sell your account.

LucidQuery provides artificial-intelligence services including reasoning models, an OpenAI-compatible API, our orchestration harness, a desktop command layer, and related tools. Our systems determine which capabilities to apply based on your inputs.

Service limitations

While we aim for accurate and helpful output, you acknowledge that:

• The Services may occasionally produce inaccurate, incomplete, or inappropriate content.
• Real-time data access may not always reflect the most current information available.
• Code generation and analysis are aids and should be verified by qualified professionals before use.
• The Services may be subject to rate limits and computational constraints.
• We may modify, suspend, or discontinue any aspect of the Services at any time.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

• To violate any applicable law, regulation, or third-party right.
• To create or distribute content that is illegal, harmful, abusive, defamatory, obscene, or that invades another's privacy.
• To impersonate any person or entity or misrepresent your affiliation.
• To disable, overburden, or impair the Services, or interfere with others' use.
• To gain unauthorized access to, or disrupt, any part of the Services or connected systems.
• To circumvent or interfere with security-related features of the Services.

Prohibited use cases

• Applications likely to cause physical, psychological, or emotional harm.
• Content intended to mislead or deceive, including deep fakes that falsely depict real individuals.
• Surveillance, tracking, or profiling of individuals without a legal basis and safeguards.
• Content that infringes others' intellectual-property rights.
• Spam, phishing, or other unsolicited automated communications.
• Weapons, malware, or other technologies designed to harm.

“User Content” refers to any data, text, images, documents, or other materials that you provide to the Services.

Content license

By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and process it solely to provide and improve the Services.

Content responsibility

You are solely responsible for your User Content. You represent that:

• You have the necessary rights, licenses, and permissions to your User Content.
• It does not violate any third-party rights, including intellectual-property and privacy rights.
• It does not violate any applicable law or regulation.

AI-generated content

• You may use content generated for you for personal or business purposes, subject to these Terms.
• We do not claim ownership of content generated for you by the Services.
• Similar or identical content may be generated for other users; we make no exclusivity guarantees.

If you use our APIs, the following additional terms apply:

• You may not exceed the rate limits or usage restrictions we establish.
• You must comply with our documentation and guidelines.
• We may modify, restrict, or discontinue API access at any time.
• You may not sell, lease, or sublicense API access without our written permission.
• You are responsible for securing your API keys and for all actions taken with them.

Some features are free; paid usage of the Services runs on prepaid credits. By purchasing credits you agree to the pricing and payment terms presented to you.

Prepaid credits

• Credits are purchased in euros (€) through our payment processor, Stripe.
• Credits are consumed as you call the Services, priced per model and per token as shown on our pricing page.
• There is no subscription and no automatic renewal. You top up whenever you choose.
• You are responsible for providing complete and accurate billing information.
• Credits are non-refundable except where required by law.

Price changes

We may change prices at any time and will give at least 30 days’ notice of material changes. Continued use after a change takes effect constitutes acceptance of the new pricing.

Our Privacy Policy explains how we collect, use, and protect information in connection with the Services. By using the Services, you consent to that handling.

Service data

We may collect and analyze data related to your use of the Services to operate, secure, and improve them, in accordance with our Privacy Policy.

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure. AI technology is evolving and may generate output that is incomplete, inaccurate, or inappropriate. You are responsible for evaluating and verifying any output before relying on it.

To the fullest extent permitted by law, LucidQuery and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or loss of goodwill, arising out of or in connection with these Terms or your use of the Services.

LucidQuery’s total liability for all claims will not exceed the amount you paid to LucidQuery for the Services in the twelve (12) months preceding the event giving rise to the liability, or one hundred euros (€100) if you have not paid for the Services.

These Terms remain in effect until terminated by either you or LucidQuery.

By you

You may terminate at any time by closing your account, discontinuing use of the Services, and notifying us.

By us

We may suspend or terminate your access at any time, with or without cause, for reasons including:

• Violation of these Terms;
• Requests by law enforcement or government agencies;
• Technical or security issues;
• Nonpayment of any fees owed.

Effect of termination

• Your right to use the Services immediately ceases;
• We may delete your account and associated data;
• Outstanding payment obligations remain in effect;
• Provisions that by their nature should survive termination will survive.

LucidQuery and its licensors own all right, title, and interest in the Services, including all intellectual-property rights. Except for the limited license expressly set out here, nothing in these Terms grants you any rights in the Services.

Trademarks

The LucidQuery name, logo, and related marks are trademarks of LucidQuery. You may not use them without our prior written permission.

Feedback

If you provide feedback or suggestions, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use it without obligation to you.

These Terms and any dispute arising from them or the Services are governed by the laws of France, without regard to conflict-of-law principles.

Dispute resolution

Disputes are subject to the exclusive jurisdiction of the competent courts of France. You and LucidQuery agree to first attempt to resolve any dispute informally before initiating proceedings.

You and LucidQuery agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class or representative action.
