Acceptance of Terms
Welcome to LucidQuery. By accessing or using our website, services, APIs, or applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legal agreement between you and LucidQuery, SAS. ("LucidQuery," "we," "us," or "our").
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" and "your" will refer to both you and that organization.
If you do not agree with these Terms, you may not access or use the Services.
Changes to Terms
We may modify these Terms at any time. We will provide notice of any material changes through the Services or by sending you an email. Your continued use of the Services after such modifications will constitute your acceptance of the updated Terms.
It is your responsibility to review these Terms periodically. If you do not agree to the modified terms, you should discontinue your use of the Services.
Access and Eligibility
To use the Services, you must be at least 16 years old, or the minimum age required in your country to use such services. If you are under 18, you must have your parent or legal guardian's permission to use the Services, and they must agree to these Terms on your behalf.
Certain features or services may have additional age or eligibility requirements, which will be specified where relevant.
We reserve the right to refuse service, terminate accounts, or restrict access to the Services at our discretion.
User Accounts
To access certain features of the Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.
You may not share your account credentials with others or allow others to access your account. You may not transfer your account to any other person or entity.
Account Security
You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or device. To the extent permitted by applicable law, you agree to accept responsibility for all activities that occur under your account or password.
Services Description
LucidQuery provides advanced artificial intelligence services including but not limited to: deep reasoning capabilities, real-time web search, code generation and analysis, mathematical problem-solving, and multi-modal content generation. Our AI automatically determines which capabilities to utilize based on your queries.
Service Limitations
While our AI models are designed to provide accurate and helpful responses, you acknowledge that:
- The Services may occasionally produce inaccurate, incomplete, or inappropriate content.
- Real-time data access may not always reflect the most current information available.
- Code generation and analysis features are provided as aids and should be verified by qualified professionals before implementation.
- The Services may be subject to usage limits, such as query rate limitations or computational constraints.
- We may modify, suspend, or discontinue any aspect of the Services at any time.
We are committed to continuously improving our Services, but make no guarantees about their availability, reliability, or performance.
Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
- To violate any applicable law, regulation, or third-party rights.
- To create, upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable.
- To impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- To engage in any activity that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services.
- To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services or any server, computer, or database connected to the Services.
- To circumvent, disable, or otherwise interfere with security-related features of the Services.
Prohibited Use Cases
You may not use the Services to:
- Develop applications that cause or are reasonably likely to cause physical, psychological, or emotional harm to users or others.
- Generate, promote, or distribute content that is intended to mislead or deceive others, including "deep fakes" or other AI-generated content that falsely depicts real individuals.
- Build systems for surveillance, tracking, or profiling of individuals without appropriate legal basis and safeguards.
- Generate content that infringes upon others' intellectual property rights.
- Create applications that automate unsolicited communications, such as spam or phishing attempts.
- Develop weapons, malware, or other technologies designed to harm.
Important Notice
Violation of these acceptable use policies may result in immediate termination of your access to the Services. We reserve the right to report illegal activities to appropriate law enforcement authorities.
User Content
"User Content" refers to any information, data, text, images, documents, or other materials that you upload, transmit, or otherwise provide to the Services.
Content License
By providing User Content to the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, modify, create derivative works based on, distribute, publicly display, and publicly perform such User Content for the purposes of providing and improving the Services.
Content Responsibility
You are solely responsible for your User Content and the consequences of sharing it through the Services. You represent and warrant that:
- You own or have the necessary rights, licenses, consents, and permissions to use and authorize us to use your User Content.
- Your User Content does not violate any third-party rights, including intellectual property rights and privacy rights.
- Your User Content does not violate any applicable laws or regulations.
AI-Generated Content
With respect to content generated by the Services in response to your inputs:
- You may use such content for your personal or business purposes, subject to these Terms and any limitations communicated to you.
- We do not claim ownership of content generated for you by the Services.
- However, similar or identical content may be generated for other users, and we make no exclusivity guarantees.
API Usage
If you use our APIs as part of the Services, the following additional terms apply:
- You may not exceed rate limits or other usage restrictions we establish.
- You must comply with any documentation or guidelines we provide for API usage.
- We may modify, restrict, or discontinue your access to the APIs at any time.
- You may not sell, lease, or sublicense API access without our explicit permission.
- You are responsible for securing any API credentials we provide and for all actions taken using those credentials.
Enterprise API customers may have additional rights and restrictions specified in separate agreements.
Payment and Billing
While we may offer free access to certain features of the Services, premium features and enterprise services require payment. By selecting a paid tier of service, you agree to pay all fees in accordance with the pricing and payment terms presented to you.
Subscription Terms
Paid services are generally offered on a subscription basis. Unless otherwise specified:
- Subscriptions automatically renew for the same term unless canceled before the renewal date.
- You authorize us to charge your payment method for each renewal period.
- You are responsible for providing complete and accurate billing information.
- Fees are non-refundable except where required by law or as explicitly stated in our refund policy.
Price Changes
We may change our prices at any time. We will provide notice of any price changes at least 30 days before they take effect. Your continued use of the Services after the price change becomes effective constitutes your agreement to pay the updated price.
Privacy and Data
Our Privacy Policy explains how we collect, use, and protect information in connection with the Services. By using the Services, you consent to our collection and use of information as described in the Privacy Policy.
Service Data
We may collect and analyze data related to your use of the Services, including queries, interactions, and generated content, to improve the Services, develop new features, and enhance our AI models. Such data will be handled in accordance with our Privacy Policy.
Security Measures
We implement reasonable security measures to protect your information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
Data Processing
If you are located in the European Economic Area, United Kingdom, or another jurisdiction with similar data protection laws, and if you provide personal data of individuals through the Services, you acknowledge that we are processing such data on your behalf and that you are responsible for complying with applicable data protection laws.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES.
YOU ACKNOWLEDGE THAT AI TECHNOLOGY IS EVOLVING AND THAT THE SERVICES MAY GENERATE OUTPUT THAT IS INCOMPLETE, INACCURATE, OR INAPPROPRIATE. YOU ARE RESPONSIBLE FOR EVALUATING AND VERIFYING ANY INFORMATION OR CONTENT OBTAINED THROUGH THE SERVICES BEFORE RELYING ON IT.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL LUCIDQUERY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF LUCIDQUERY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL LUCIDQUERY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO LUCIDQUERY FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT PAID LUCIDQUERY FOR USE OF THE SERVICES.
THE LIMITATIONS OF LIABILITY IN THIS SECTION WILL APPLY TO ANY THEORY OF LIABILITY, INCLUDING THOSE BASED ON WARRANTY, CONTRACT, STATUTE, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF LUCIDQUERY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AND EVEN IF ANY REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE.
Term and Termination
These Terms will remain in effect until terminated by either you or LucidQuery.
Termination by You
You may terminate these Terms at any time by:
- Closing your account, if you have one;
- Discontinuing your use of the Services; and
- Notifying us of your intention to terminate.
Termination by Us
We may terminate these Terms or suspend your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
- Violation of these Terms;
- Requests by law enforcement or other government agencies;
- Technical or security issues;
- Extended periods of inactivity; or
- Nonpayment of any fees owed by you.
Effect of Termination
Upon termination:
- Your right to use the Services will immediately cease;
- We may delete your account and all associated data;
- Any outstanding payment obligations will remain in effect;
- Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Intellectual Property
LucidQuery and its licensors own all right, title, and interest in and to the Services, including all intellectual property rights therein. Nothing in these Terms grants you any right, title, or interest in the Services or any content accessible through the Services, except for the limited license expressly set forth in these Terms.
Trademarks
LucidQuery's name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of LucidQuery or its affiliates or licensors. You may not use such marks without our prior written permission.
Feedback
If you provide feedback, ideas, or suggestions regarding the Services ("Feedback"), you acknowledge that such Feedback is non-confidential, and you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback throughout the world in any media.
Governing Law
These Terms and any dispute arising out of or related to these Terms or the Services will be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.
Dispute Resolution
Any dispute arising from or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts of France. You and LucidQuery agree to first attempt to resolve any dispute informally before initiating legal proceedings.
Class Action Waiver
YOU AND LUCIDQUERY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
Injunctive Relief
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent breach of intellectual property rights or confidentiality obligations.
